Vendor Terms and Conditions

Version: 1.0 | Effective date: 11 October 2026

These terms govern vendor applications and selling activities on Thryve Platforms Limited (“Thryve”). By ticking the acceptance box and submitting this form, you confirm that you have read and agree to these terms.

1. Eligibility and accurate information

You confirm that you are at least 18 years old and authorised to act for the business named in this application. All business, identification, contact and bank details you provide must be accurate and kept up to date. Thryve may request supporting documents to verify your application.

2. Approval and vendor relationship

Submitting this form does not guarantee approval or immediate product listing. Thryve may approve or decline applications following verification. You operate as an independent seller and remain responsible for your products and business obligations. Joining Thryve does not create an employment, partnership or joint venture relationship.

3. Genuine, safe and lawful products

You must own your products or have authority to sell them. Products must be genuine, safe, legally permitted and compliant with applicable Nigerian requirements, including relevant registrations, labelling and expiry information. Counterfeit, stolen, expired, prohibited or misleadingly advertised products are not permitted.

4. Product listings and stock updates

You must provide accurate product descriptions, images, prices, sizes, specifications and stock information. Clearly disclose defects, limitations and whether an item is used or refurbished. Notify Thryve promptly of stock shortages or price changes. Do not substitute products or increase the price of an accepted order without the customer’s agreement.

5. Fees and optional services

Approved Growth Vendors benefit from zero sales commission under Thryve’s Growth Vendor offer. There are no onboarding, portal access or activation fees. Zero commission does not mean that delivery, payment processing or optional services are free. Any applicable charges, the party responsible for paying them and optional advertising costs must be disclosed and agreed before they apply. Optional services will not be enrolled or renewed without your agreement.

6. Order fulfilment and delivery

You must respond promptly to order enquiries, confirm availability and prepare orders within the agreed timeframe. Products must be properly packaged and match the confirmed order. Notify Thryve immediately of delays or fulfilment problems. Responsibility for delivery charges, loss or damage will be determined by the agreed delivery arrangement, the evidence available and applicable law.

7. Payments and settlements

Payments will be made to your verified bank account according to the settlement schedule communicated and agreed during onboarding. Settlements may reflect disclosed charges, refunds and properly supported adjustments. Thryve may temporarily hold amounts reasonably connected to a disputed transaction, suspected fraud or a legal requirement. Where legally permitted, Thryve will explain the reason and release any remaining amount once the matter is resolved.

8. Returns, refunds and complaints

You agree to cooperate with Thryve in resolving customer complaints and honouring applicable consumer rights and the return and refund policy supplied before activation. Where a complaint results from your defective, incorrect, counterfeit or misrepresented product, you will bear the applicable refund, replacement and reasonable return-delivery costs. Responsibility must be assessed fairly, with an opportunity for you to provide evidence. These terms do not exclude rights provided by law.

9. Product content and promotion

You grant Thryve a non-exclusive, royalty-free permission to use the business name, logo, product images and descriptions you supply to list and promote your products. You confirm that you have the necessary rights to this content. This permission ends when your vendor relationship ends, except for transaction records, legal retention and a reasonable period to remove existing promotional materials.

10. Personal information and customer privacy

Thryve will process your personal information for verification, vendor administration, payments, fulfilment and related purposes as explained in its Privacy Notice. You must use customer information only for authorised order fulfilment and support, keep it secure, and promptly report suspected misuse or exposure. You must not sell customer information or use it for unsolicited marketing.

11. Suspension and termination

Thryve may restrict listings or suspend your participation for fraud, unsafe products, serious complaints or breaches of these terms. Where practical, you will receive the reason and an opportunity to respond. You may leave by giving written notice through Thryve’s vendor support channel. Outstanding orders, refunds, complaints and payments must still be resolved.

12. Changes, responsibility and disputes

Thryve does not guarantee sales volumes or earnings. Each party remains responsible for its own acts, omissions and legal obligations. Material changes to these terms will be communicated before taking effect, with fresh acceptance obtained where required. Changes will not retrospectively alter accepted orders. Nigerian law governs these terms. Unresolved disputes may be referred to the appropriate regulator or a court with jurisdiction.
